FVCoC Membership

Terms & Conditions

1. Membership of Forth Valley Chamber is subject to the provisions of the Memorandum and Articles of Association of FVCoC (the Articles) (available on request) and in the event of a conflict between these terms and conditions and the Articles, the Articles shall prevail.

2. Membership is open to companies and other organisations regardless of their location. Members do not have to have a base in the Forth Valley Chamber area in order to become a member. FVCoC membership is open to companies or other organisations and separate business divisions and not to departments within organisations.

3. FVCoC membership is a business entitlement rather than a personal one. All employees of the member are therefore entitled to all FVCoC benefits and services when working on behalf of their member employer.

4. Membership is for a minimum period of 12 months. Membership will renew automatically for the next membership period as each 12-month term expires.

5. Membership in the first year is valid for 12 months and commences from the date on which a prospective member signs a contract with FVCoC and thereby receives confirmation of membership from the FVCoC. Upon signing the contract, the benefits of membership commence immediately and Membership Fees will become payable.

6. Membership fees can be paid online or via invoice, we accept payment by BACS, Direct Debit or by credit/debit card. Membership fees which are to be paid via invoice are payable within a strict 30 day time period from the date of the invoice. A failure to pay that sum within 30 days from the date of the invoice may lead to membership benefits being suspended and/or membership cancelled, or the recovery of the annual fee as a debt.

7. If a Member chooses to pay by Direct Debit, that Membership will commence from the date of signing the contract with the FVCoC. It is the responsibility of the Member to ensure a Direct Debit mandate is implemented and also to ensure that the first instalment payment is received by the FVCoC within 30 days from the date of the commencement of Membership. If any change is made to the Direct Debit Mandate, then payment will be by invoice, and the same 30 day period for payment will apply.

8. Whilst a Member may be entitled to cancel a Direct Debit mandate at any time, the Member’s commitment remains to pay the full amount due for the initial and any subsequent 12-month membership terms. In those circumstances, all monies outstanding will fall due for immediate payment. A failure to pay that sum within 14 days of request may lead to membership benefits being suspended and/or membership cancelled, or the recovery of that fee as a debt.

9. If you wish to resign your membership at any time you must confirm this in writing and at least 7 days in advance of the expiry of the relevant 12-month period of membership. If notice to terminate is not given within the 7 days described above; then membership will be automatically renewed for the next 12 month period, although in that circumstance the written notice will be deemed to have been served. In circumstances where notice is given of proposed termination, this will not negate the requirement to pay Membership Fees for any outstanding portion of any 12 month period of membership.

10. FVCoC regularly communicates with members by email, post and telephone. We aim to only approach our Members with information which we believe could be of interest to them. This is an integral part of the membership and by entering into membership you agree to be contacted by FVCoC. This regular communication can be terminated and/or re-instated at the member’s request at any time.

11. Members are entitled and encouraged to take advantage of the various opportunities FVCoC offers but there is never any obligation or pressure to use any of the services provided by FVCoC.

12. Membership benefits are subject to change without notice and are subject to terms and conditions available from FVCoC.

13. Membership fee is non-refundable and membership is non-transferable.

14. Single membership entitles the member to one standard entry in the Directory. Similarly only one company name can be used for any other FVCoC publications.

15. Membership fees are based on the membership plan chosen by in the member organisation. It is an express term of the membership agreement that the member will inform FVCoC about any changes or other vital aspects of the business.

16. By signing our application form you are entering into a legal agreement to join FVCoC. You may cancel the agreement by giving FVCoC written notice within 14 days of the date of the agreement

17. Membership is subject to Board approval and FVCoC reserves a right to refuse membership without disclosing any reason.

18. FVCoC shall have no liability for any losses suffered by a member as a result of using services offered by a fellow member. FVCoC shall have no responsibility for advice given or services provided by its members or by its third-party service providers even though such providers may have been introduced to the member by FVCoC.

19. Members are not permitted to use the name, logo, or marketing material of the FVCoC without prior approval in writing from the Chief Executive. Further, Members are not permitted to use any other Member’s identity or email address for their own advertising or communications in an unsolicited fashion. Any breach of these obligations, whether by use of a single or mass unsolicited correspondence will represent a significant breach of these Terms, be considered behaviour which could bring the FVCoC into disrepute and will therefore result in disciplinary action, to include removal of benefits and/or up-to expulsion will follow. In such circumstances, there will be no refund of Membership monies for that financial year in question.
